DEFINITIONS AND INTERPRETATION
'Donor' is a person who makes a donation, including a Patron.
'Event' means an event for which a Ticket is sold on Our Website, including, without limitation, admission to the Venue, a guided tour, talk, course, presentation, concert, exhibition, theatrical or music event.
'GoCardless' means GoCardless Ltd (company registration number 07495895) which provides Direct Debit payment services to Us.
'Member' or 'Membership' refers to members of the Friends of Highgate Cemetery Trust.
'Patron' is a class of Donor who makes or commits to making a donation or donations of a specified level during a twelve-month period.
'Terms' means these terms and conditions and other documents referred to within them.
'Ticket' or 'Tickets' means printed, electronic or other type of evidence (including a wristband) of the right to occupy space at or to attend an Event sold by Us to You.
'Venue' means Highgate Cemetery, Swain's Lane, London N6 6PJ or such other specified facilities or locations of any nature where the Event is being held.
'We', 'Our', 'the Trust' and 'Us' refer to Friends of Highgate Cemetery Trust as set out in Section 1.
'Website' means highgatecemetery.org.
'Working Day' means Monday to Friday, excluding any Public or Bank Holidays.
'You' means you or anybody who in Our reasonable opinion is acting with your authority or permission. 'Your' shall be read accordingly.

- These Terms set out the terms on which You can make a donation or purchase products such as Membership or Tickets through Our Website ('placing an order'). By placing an order, You confirm that You accept these Terms, and You become legally bound by them. If You do not agree to these Terms, You must not place an order.
- Please read these Terms carefully. These Terms tell You who We are and other important information. They set out Your rights and responsibilities and tell You what to do if there is a problem. These Terms also limit Our liability.
- We reserve the right to update, change or replace any part of these Terms at Our sole discretion. However, the terms which apply to Your order will be those in force at the time You submitted Your order to Us.
- We will collect some personal data about You in order to process Your order (for example, Your name, email address, payment details and delivery information). For information regarding how We process personal data, see Our privacy policy at highgatecemetery.org/privacy. It is Your responsibility to inform Us of any change to the contact address, telephone number or email address You provide Us with at the time of ordering.

- All Tickets are sold subject to availability and to these Terms. These Terms should be read carefully and any queries relating to them should be raised with Us prior to purchase. Any Ticket obtained in breach of these Terms shall be void. Any person seeking to use such a void Ticket will be refused entry.
- A valid Ticket must be produced to enter Highgate Cemetery or an Event. Please notify Us of any access requirements at the time of booking.
- Where a concession is claimed, proof of identity and concession entitlement (for example of age or student status) may be required. Only one concession or discount can be applied per Ticket and cannot be applied retrospectively once Your order has been accepted.
- Tickets You purchase are for Your personal, non-commercial use and must not be resold for profit. You must not purchase and/or resell Your Tickets (i) with the intention of reselling Your Tickets for profit or (ii) on behalf of a business, or (iii) as a trader acting in the course of business. If We discover or have reason to suspect that You have purchased and intend to resell, or have sold Tickets in breach of this Clause, We reserve the right to cancel Your Tickets without notice.
- Removing any part of, altering or defacing the Ticket may invalidate Your Ticket.
- Tickets for private Events, for example private tours or travel trade groups, are subject to their own terms and conditions and are outside the scope of these Terms.

- Membership is administered almost exclusively online. You will need to use Your email address when logging on to Our Website to book Tickets for Events.

Members will receive a range of benefits. A typical Membership package will include:
- Unlimited free entry during normal opening hours
- Newsletter
- Member update emails
- Discount on Event tickets and in Our shop

The right to vote at the Annual General Meeting.
- A 'Member Plus' Member may obtain a guest pass to give one other person each day free admission to Highgate Cemetery during normal opening hours.
- We reserve the right to change the Membership benefits at any time and without prior notice.
- As a Member of the Trust You become a member of the limited company and Your name and address will be recorded in the register of members kept as required by Section 113 of the Companies Act 2006.
- You must give Us notice of any change in Your registered name or address within two months and the date on which the change occurred.
- Membership is non-transferable. You may be asked to provide identification. You must not allow anyone else to use Your Membership. You may not buy Membership as a gift.
- Subject to any statutory right to cancel, Your Membership fee is non-refundable once payment has been received by Us.

Your Membership will be terminated if:
- You give Us Written notice of resignation;
- You die;
- You are more than three months in arrears in paying Your subscription;
- You are removed from Membership by resolution of the directors of the Trust on the grounds that in their reasonable opinion it would be in the best interests of the Trust for Your Membership to be terminated, but only after notifying You in writing and considering the matter in the light of any written representations that You put forward within 14 clear days of receiving such notice.
- Membership is valid from the day Your Membership is acknowledged by Us and will usually be valid for 12 months.
- When each Membership period comes to an end, We will send You a renewal reminder. If You do not renew Your Membership it will expire automatically at the end of the period unless renewed by Direct Debit.

- Tickets may be purchased on Our Website You agree not to obtain or attempt to obtain any Tickets through unauthorised use of any robot, spider or other automated device or any other illegal or unauthorised activity. We reserve the right to cancel any transaction which We reasonably suspect to have been made in breach of these provisions without any notice to You and any and all Tickets purchased as part of such transaction will be void.
- Please check Your order carefully before confirming it. You are responsible for ensuring that Your order is complete and accurate.
- Your contract for the purchase of Tickets is formed as soon as We have processed Your payment and will expire immediately at the end of Your visit or immediately after the Event for which You purchased Tickets.
- Purchases are subject to payment card verification and other security checks and Your transaction may be cancelled if it has not passed Our verification processes.
- We reserve the right to accept or reject any order at Our discretion. If We are unable to accept Your order, We will notify You as soon as possible.

- Ticket prices are shown on the Website inclusive of VAT and as set out in Your order. Membership are zero-rated and Donations are outside the scope of VAT.
- Prices may change at any time but this will not affect existing orders unless there has been an error on the Website. If this applies to Your order, We will try to contact You using the contact details You provided when You placed Your order. We will give You the option to re-confirm Your order at the correct price or to cancel Your order.
- Ticket prices may increase or decrease at any time, based on demand. Once the Tickets are placed in Your basket, the price will not change. You will not be entitled to a refund or credit if (i) the price of a Ticket was at any time before You purchased Your Ticket less than the price You paid; or (ii) the price of any other Tickets to the relevant Event is subsequently reduced after You purchase Your Ticket.
- If You are able to order a Ticket before its scheduled on-sale or pre-sale date or You are able to order a Ticket that was not supposed to have been released for sale, then We will have the right to cancel that Ticket (or the order for that Ticket) and refund to You the amount that You paid. This will apply regardless of whether the cause was human error or a transactional malfunction of the Website.
- We will charge the price to the credit or debit card that You provided at the time We accept Your order. All amounts due must be paid in full in advance.

Payments by Direct Debit
- When each Membership or Patron period comes to an end, We will send You a renewal reminder. If You do not wish to renew You must inform Us at least 7 days before the end of the period to prevent funds being debited from Your account. If You do not inform Us, Your Membership or Patron payments will automatically renew at the end of each period.
- If there are any changes to the amount, date or frequency of Your Direct Debit, GoCardless will notify You (normally 3 Working Days) in advance of Your account being debited or as otherwise agreed. If You request GoCardless to collect a payment, confirmation of the amount and date will be given to You at the time of the request.
- If an error has been made in the payment of Your Direct Debit by GoCardless or Your bank/building society, You are entitled to a full and immediate refund of the amount paid from Your bank or building society. If You receive a refund You are not entitled to, You must pay it back when GoCardless asks You to.
- You can cancel a Direct Debit at any time by contacting Your bank or building society. Written confirmation may be required. Please also notify GoCardless.
- Renewal by cash, cheque and credit/debit card: When each Membership or Patron period comes to an end, We will send You a renewal reminder, and Your Membership or Patron status will be cancelled unless and until a further payment is received from You.

- Your Tickets will be delivered as an eTicket to the email address provided by You. Your eTicket must be printed or presented on a mobile or tablet device. If printed, Your eTicket must be clearly printed to scale on plain A4, clean, white paper. Problems with printing are Your responsibility. Unauthorised duplication of Your eTicket may prevent Your admittance to Highgate Cemetery or to the Event. We are not responsible for any inconvenience caused by unauthorised duplication. If unauthorised duplicates appear We reserve the right to refuse entry to all Ticket holders. Any duplicate Ticket issued by Us, will render the original eTicket null and void.

- We reserve the right to make alterations to the published Event where reasonably necessary. Where such alteration is a material change, You may request a refund in accordance with clause 9.
- A 'material change' is a change which, in Our reasonable opinion, makes the Event materially different to the Event that purchasers of the Ticket, taken generally, could reasonably expect. A change to the start time of the Event will not be considered a material change.
- Not all of Highgate Cemetery is open to visitors, and not all graves are accessible. The inability to visit any particular part or parts of Highgate Cemetery or any particular grave or graves will not be considered a material change.

- Tickets cannot be exchanged, cancelled or refunded after purchase (except pursuant to section 8).
- You are not entitled to a refund if You change Your mind or realise that You cannot attend the Event.
- Where an Event is cancelled, curtailed or rescheduled due to circumstances beyond Our control, such as because of adverse weather, or where there is a material change to the programme of the Event, You may request a refund from Us.
- Refunds will only be made to the person who purchased the Tickets and, when possible, be made using the same payment method as was used to purchase the Tickets.
- Donations may not be refunded once made, including Patron donations.
- As a consumer, You have a legal right to cancel the Membership contract formed between Us (and receive a refund of the subscription paid) if You change Your mind or decide for any other reason that You do not want to continue the Membership.
- Your legal right to cancel the Membership contract starts from the date on which We confirm that Your application for Membership has been accepted, which is when the contract between us is formed. Your deadline for cancelling the contract is 14 days after the day on which this contract was formed.

To cancel a Membership contract, just let Us know that You have decided to cancel. You must contact via email at membership@highgatecemetery.org or by writing to Membership, Friends of Highgate Cemetery Trust, Swain's Lane, London N6 6PJ.
- If You cancel the contract in accordance with clause 9.7 We will refund You the price You paid for the Membership. Please note We are permitted by law to reduce Your refund to reflect the period of time (if any) that the Membership was valid up to the date on which We were notified of Your decision to cancel the contract and so We shall be entitled to charge the full adult ticket price of any Event the Member attended (or booked but failed to attend) prior to cancellation.
- We will make any refunds due to You as soon as possible.

- We reserve the right to refuse You admission in reasonable circumstances including for health and safety or where a Ticket is void.

We may request You leave the Venue at any point on reasonable grounds including:
- failing to follow the Highgate Cemetery Rules (highgatecemetery.org/uploads/Rules_Highgate_Cemetery_March_2018.pdf);
- failing to comply with the information for visitors on Our Website: (highgatecemetery.org/visit); or
- failing to follow Our reasonable instructions.

You agree that:
- You will provide complete and accurate information when placing an order; and
- You will comply with these Terms, and any other documents referred to; and
- You are legally bound by them.

We may terminate this contract at any time by contacting You in writing if:
- You commit a serious breach of these Terms;
- You do or take part in anything illegal when using Our Website; or
- You fail to pay any amount due by the due date.
- Our right to terminate does not affect any of Your rights.

- We are not liable to You for any losses You incur where the Tickets are delayed or cannot be delivered because You fail to make information available to Us or fail to provide Us with adequate instructions or information to allow Us to deliver the Tickets.
- We are not liable to You for any loss or damage that was not foreseeable, any loss or damage not caused by Our breach or negligence, or any business loss or damage. If We are affected by an unforeseeable event, We will promptly write to You to let You know if this means We are unable to fulfil the contract.
- Nothing in these Terms excludes or limits Our liability for any death or personal injury caused by Our negligence, liability for fraud or fraudulent misrepresentation, or any other liability that the law does not allow Us to exclude or limit.

- You are not allowed to transfer Your rights or obligations under these Terms to anyone without Our prior written consent. We may transfer Our rights and obligations under these Terms to another business without Your consent, but We will notify You of the transfer and make sure that Your rights are not adversely affected as a result.
- If any provision of these Terms (or part of any provision) is or becomes illegal, invalid or unenforceable, the legality, validity and enforceability of any other provision of these Terms will not be affected.
- If You breach these Terms and We take no action, We will still be entitled to use Our rights and remedies in any other situation where You breach these Terms.
- Under this contract, notices must be in writing and sent to the other party's address or email address, as set out in the order confirmation. Letters sent in the United Kingdom will be deemed delivered 3 business days (excluding English Bank Holidays), after sending. Emails will be deemed delivered the same day (or the next business day, if sent on a non-business day or after 5pm on any business day at the recipient's location).
- Our contract with You and these Terms represent the entire agreement between Us and replace any terms and conditions of purchase or supply that You have been provided with previously.
- Our contract with You and these Terms and any dispute or claim arising out of them will be governed by, and interpreted in accordance with, the laws of England and the parties agree that the courts of England will have exclusive jurisdiction to settle such disputes or claims.
